OSENSA Innovations Corp. - 12 Month Limited Warranty
1. Scope of Coverage
OSENSA Innovations Corp. (“OSENSA”) warrants to the original end-user purchaser that OSENSA branded products including fiber optic temperature sensors and partial discharge sensors will be free from defects in material and workmanship when used and installed in industrial applications, including low- and medium-voltage environments such as switchgears, busbars, motors, and generators, or in research applications such as MRI temperature monitoring, according to OSENSA’s instructions and published documentation and in compliance with applicable industry safety standards (e.g., IEC 61439 for low-voltage switchgear, IEC 62271-200 for medium-voltage switchgear, IEC 60034 for motors and generators, IEC 60601-2-33 for MRI equipment). OSENSA sensors are not intended or warranted for use in medical applications, and OSENSA assumes no liability for such use. This warranty does not guarantee the product’s performance in detecting or preventing all instances of equipment failures, which depend on proper system design, installation, and operating conditions. This warranty is strictly limited to the cost of repairing or replacing the defective product and does not cover any damages, losses, or additional costs arising from its selection, installation, integration, misapplication, or use in industrial, research, or voltage-specific applications. This warranty is valid for twelve (12) months from the original shipment date to the first purchaser, with optional extended warranty plans available; contact OSENSA for details. Software maintenance and support are warranted for the term of the active subscription or service contract.
This warranty is provided solely to commercial, industrial, governmental, and institutional customers (“Customer”) and is not transferable without OSENSA’s written authorization. No implied warranties, including merchantability or fitness for a particular purpose, apply beyond the express terms of this warranty.
OSENSA shall pass the original manufacturer’s warranty to Customer for non-OSENSA branded products. OSENSA does not warrant any non-OSENSA manufactured Products, including non-OSENSA power supplies, panel components, converters, cables, displays, and products or prototypes provided by OSENSA for evaluation, testing, marketing, or loan purposes.
2. Warranty Exclusions
This warranty does not apply to defects or issues arising from:
• Improper installation, misuse, abuse, neglect, misapplication, or operation outside specified environmental or electrical ranges as outlined in OSENSA’s documentation.
• Failure to follow OSENSA’s installation or usage instructions, applicable industry safety standards, or improper selection of the product for the Customer’s specific industrial or voltage-specific application, for which the Customer is solely responsible.
• Unauthorized alterations, repairs, or modifications to hardware or software.
• Damage from external causes (e.g., power surges, lightning, water ingress, fire, vibration, or catastrophic failure conditions).
• Normal wear-and-tear of consumable components (e.g., fuses, connectors, cables), physical damage, or cosmetic changes.
• Third-party software, firmware, accessories, or systems not provided by OSENSA.
• Any costs, damages, or losses beyond the repair or replacement of the defective product, including but not limited to labor, shipping, direct or indirect damages, or the cost of removal or installation of a replacement part, which is the sole responsibility of the Customer, or damage to other equipment, systems, or operations in industrial, research, or voltage-specific environments.
• Any patient harm, medical outcomes, or regulatory non-compliance arising from use in medical applications
3. Customer Remedies
Upon confirmation of a valid warranty claim, OSENSA will, at its sole discretion:
1. Repair the defective product, or
2. Replace it with a new or refurbished equivalent.
These remedies constitute the Customer’s sole and exclusive recourse, and OSENSA’s total liability is limited to the cost of repairing or replacing the defective product. Repaired or replacement products are covered for the remainder of the eighteen-month warranty period or ninety (90) days from return, whichever is longer. No warranties apply to Open-Source components bundled with OSENSA software. Claims require remote access to failed units (for cloud/remote services) or return of hardware with a valid Return Material Authorization (RMA).
4. Limitations of Liability
OSENSA’s total liability under this warranty is strictly limited to the cost of repairing or replacing the defective product, up to the original invoice value. OSENSA will not be liable for:
• Direct, indirect, incidental, special, consequential, or punitive damages (e.g., lost profits, lost data, downtime, or business interruption).
• Any damages, losses, or costs arising from the selection, installation, integration, misapplication, or use of OSENSA products in industrial, research, or voltage-specific applications, including but not limited to damage to other equipment, systems, or operations, or the cost of removal or installation of a replacement part, which is the sole responsibility of the Customer.
• Any claim resulting from failure to comply with applicable industry safety standards or third-party systems or integrations.
• Any claim related to patient harm, medical outcomes, or regulatory non-compliance arising from use in medical applications.
The Customer is solely responsible for ensuring the proper selection, installation, and integration of OSENSA products in industrial, research, and voltage-specific applications, including compliance with all applicable safety standards, obtaining necessary regulatory approvals, and for ensuring that the overall system design is suitable for the application and integrates OSENSA products correctly, and assumes all risks and liabilities associated with such activities. Some jurisdictions may limit the exclusion of certain damages; where applicable, OSENSA’s liability is limited to the maximum extent permitted by law.
5. Warranty Claim Procedure
To submit a claim:
Contact OSENSA Support by email support@osensa.com providing the product serial number, proof of purchase, detailed defect description, and evidence that the product was installed and used in accordance with OSENSA’s instructions and applicable industry safety standards. Obtain an RMA for hardware returns; products without an RMA will not be accepted. The Customer is responsible for shipping costs to OSENSA. OSENSA will cover return shipping for valid warranty repairs or replacements. OSENSA may conduct diagnostic testing to confirm defects, and claims may be denied if defects result from misapplication, non-compliance with safety standards, or failure to follow instructions.
6. Service and Software
Subscription-based services, firmware upgrades, and software support (e.g., OsensaView PRO, cloud analytics, SCADA integrations) are warranted during their active contract term. OSENSA warrants that services will be performed to industry standards. Service or software issues arising from improper integration into industrial or voltage-specific systems, misapplication, or failure to follow OSENSA’s instructions or industry safety standards are not covered. Failures will be addressed via standard support channels per service documentation.
7. Governing Law
This warranty is governed by the laws of the Province of British Columbia, Canada, without regard to conflict-of-laws provisions. Disputes will be resolved in the courts of British Columbia unless otherwise agreed in writing.
8. Consumer Protections
This warranty provides specific legal rights. Customers may have additional rights under applicable laws, but such rights do not expand OSENSA’s liability beyond the terms of this warranty.
9. Commercial Terms
This warranty replaces all prior warranties or representations. No reseller, distributor, or agent may alter or extend this warranty. OSENSA may modify or discontinue products or services without notice, but these terms apply to products shipped during their warranty period.
